Board of Directors (BOD)

The Board of Directors governs DeMolay International and acts as a trustee of the organization's assets, ensuring good management and fiscal soundness

It is responsible for proper oversight of operations and maintaining legal and ethical accountability of staff and volunteers.

The Board's main responsibilities include:

Duty of Care, actively participating in planning and decision-making;

Duty of Loyalty, prioritizing DeMolay's interests and avoiding conflicts; and

Duty of Obedience, ensuring compliance with laws and commitment to the mission

The Board also has a fiduciary role, overseeing finances, approving budgets, and reviewing financial reports.

The Board transacts all business of the Order, except matters reserved in the bylaws or rules and regulations. It may amend the rules and regulations, except for provisions governing honors, membership eligibility, Chapter sponsorship, the ritual, or amendment procedures

The Board of Directors consists of:

One Class 1 member representing each DeMolay region

The Grand Master (Chairman)

The Grand Senior Councilor (Vice Chairman)

The Grand Junior Councilor

The Grand Secretary (Secretary of the Board)

The Grand Treasurer

A representative selected by the Executive Officers' Conference

Two Class 6 members of DeMolay International

Non-voting members: Chairman of the Jurisprudence and Legislation Committee, Chairman of the Budget and Finance Committee, and General Counsel

Region directors serve a two-year term, and may not serve more than four years out of any six-year period.

Eligibility for election to the Board requires executing an agreement outlining expectations, a conflict disclosure statement approved by the Board, and completing Board of Directors Leadership Training.

A Board member absent from two successive meetings between Annual Meetings is deemed to have resigned unless excused by the Grand Master.

Vacancies are filled by appointment from the Grand Master until the next annual meeting
